These terms of use govern your use of our website; by using our website, you accept these terms of use in full.  If you disagree with these terms of use, or any part of these terms of use, you must not use our website.

The only language in which we provide these terms of use is English.

2. Interpretation

In these terms of use, ‘we’, ‘us’ and ‘our’ means MSE Books.  While ‘you’ and ‘your’ means our customers or potential customers for our goods or anyone browsing our website.

The words ‘products’, ‘items’ and ‘goods’ will mean the same and they will all refer to anything sold from our website.  Also, note that these words in the singular include the plural and in the plural include the singular. 

3. Variation

We may revise these terms of use from time-to-time. Revised terms of use will apply from the date of the publication of the revised terms on our website. Please check this page regularly to ensure you are familiar with the current version.

4. Licence to use website

Unless otherwise stated, we or our licensors own the intellectual property rights in our website and material on our website.  Subject to the licence below, all these intellectual property rights are reserved.

You may view, download for caching purposes only, and print pages from our website for your own personal use, subject to the restrictions set out below and elsewhere in these terms of use.

You must not:

  1. Republish material from this website (including republication on another website);
  2. Sell, rent or sub-license material from this website;
  3. Show any material from this website in public;
  4. Reproduce, duplicate, copy or otherwise exploit material on this website for a commercial purpose;
  5. Edit or otherwise modify any material on this website; or
  6. Redistribute material from this website except for content specifically and expressly made available for redistribution such as our newsletter.

5. Acceptable use

You must not use our website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website.  Nor must you use it in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You must not use our website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website without our express written consent.

You must not use our website to transmit or send unsolicited commercial communications.

You must not use our website for any purposes related to marketing without our express written consent.

6. Account access

If you want to buy goods from our website, you must register with us and create an account.  To do this, you will need to create a password so you can access the ‘My Account’ area of our website.

Please note that you are responsible for maintaining the confidentiality of your account and password.  As such, you agree to accept responsibility for all activities that occur under your account or password.  This is why you should take all necessary steps to keep your password private and secure.

You should inform us straight away if you have any reason to think that someone knows your password, or if your password is being, or is likely to be, used in an unauthorised manner.

If we think it necessary, we may disable your user ID and password without notice or explanation.

7. Products

The advertising of items on our website amounts to an ‘invitation to treat’ - not a contractual offer.

Due to the large number of items on our website, it’s always possible that some of the prices could be wrong.  If a price is wrong, we’ll notify you of the correct price within 24 hours of you placing an order.

The purchase of goods from our website will be subject to our Terms of Sale.

8. User generated content

In these terms of use, ‘your user content’ means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to us for publication on our website whether as a product review or otherwise.

You grant to us a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media.  You also grant to us the right to sub-license these rights, and the right to bring an action for infringement of these rights.

Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or us or a third party (in each case under any applicable law).

Your user content (and its publication on our website) must not:

  1. Be libellous or maliciously false;
  2. Be obscene or indecent;
  3. Infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right;
  4. Infringe any right of confidence, right of privacy, or right under data protection legislation;
  5. Constitute negligent advice or contain any negligent statement;
  6. Constitute an incitement to commit a crime;
  7. Be in contempt of any court, or in breach of any court order;
  8. Be in breach of racial or religious hatred or discrimination legislation;
  9. Be blasphemous;
  10. Be in breach of official secrets legislation;
  11. Be in breach of any contractual obligation owed to any person;
  12. Depict violence;
  13. Be pornographic or sexually explicit.
  14. Be untrue, false, inaccurate or misleading;
  15. Consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage;
  16. Constitute spam
  17. Be offensive, deceptive, threatening, abusive, harassing, or menacing, hateful, discriminatory or inflammatory; or
  18. Cause annoyance, inconvenience or needless anxiety to any person.

Your user content must be appropriate, civil and tasteful and accord with generally accepted standards of etiquette and behaviour on the internet.

Your user content must not link to any website or web page consisting of or containing material that would, if posted on our website, breach the provisions of these terms of use.

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

We reserve the right to edit or remove any material submitted to our website, or stored on our servers, or hosted or published upon our website.

Notwithstanding our rights under these terms of use in relation to user content, we do not undertake to monitor the submission of such content to, or the publication of such content on, our website.

9. Limited warranties

You acknowledge that users may submit some of the information published on this website, and that we do not usually review, approve or edit such information.  In addition, we do not warrant the completeness or accuracy of the information published on this website.  Nor do we commit to ensuring that the website remains available or that we keep the material on the website up-to-date.

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to this website and the use of this website (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).

10. Limitations and exclusions of liability

Nothing in the terms of use will:

  1. Limit or exclude our or your liability for death or personal injury resulting from negligence;
  2. Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  3. Limit any of our or your liabilities in any way that is not permitted under applicable law; or
  4. Exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in these terms of use:

  1. Are subject to the preceding list (10 a - d); and
  2. Govern all liabilities arising under the terms of use or in relation to the subject matter of the terms of use, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

We will not be liable to you in respect of any loss or corruption of any data, database or software.

We will not be liable to you in respect of any special, indirect or consequential loss or damage.

You agree to the publication of comments, reviews and/or feedback relating to you, by others, on our website.  You acknowledge that such comments, reviews and/or feedback may be critical, defamatory, or otherwise unlawful.  Moreover, you agree that you will not hold us liable in respect of any such comments, reviews and/or feedback, irrespective of whether we are aware or ought to have been aware of such comments, reviews and/or feedback.

11. Indemnity

You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these terms of use, or arising out of any claim that you have breached any provision of these terms of use.

12. Breaches of these terms of use

Without prejudice to our other rights under these terms of use, if you breach these terms of use in any way, or if we reasonably suspect that you have breached these terms of use in any way, we may:

  1. Send you one or more formal warnings;
  2. Temporarily suspend your access to the website;
  3. Permanently prohibit you from accessing the website;
  4. Block computers using your IP address from accessing the website;
  5. Contact your internet services provider and request that they block your access to the website;
  6. Bring court proceedings against you for breach of contract or otherwise;
  7. Suspend and/or delete your account with the website; and/or
  8. Delete and/or edit any or all of your user-generated content.

Where we suspend, prohibit, or block your access to our website or a part of our website, you must not take any action to circumvent such suspension, prohibition or blocking (including without limitation creating and/or using a different account).

13. Third party websites

Our website includes links to other websites owned and run by third parties. These links are not recommendations. We have no control over the contents of third party websites, and we accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. Trade marks

The MSE Books logo, the MSE icon, msebooks.com, msebooks.co.uk, msebooks.co, modernsignededitions.com, modernsignededitions.co.uk and modernsignededitions.co are trademarks belonging to us.  We give no permission for the use of these trademarks, and any use may constitute an infringement of our rights.

The other registered and unregistered trademarks or service marks on our website are the property of their respective owners.  Unless stated otherwise, we do not endorse, nor do we have any affiliation with, any of the holders of any such rights.  As such, we cannot grant any licence to exercise such rights.

15. Competitions

From time to time, we may run competitions, free prize draws and/or other promotions on our website.  These will be subject to separate terms of entry, which we will make available to you as part of the competition details.

16. Assignment

We may transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms of use without notifying you or obtaining your consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms of use.

17. Severability

If any court or other competent authority decides a provision of these terms is unlawful and/or unenforceable, the other provisions will continue in full effect.  If deleting any part of an unlawful and/or unenforceable provision would make it lawful or enforceable, we will regard that part as deleted and the rest of the provision will continue in effect.

18. Exclusion of third party rights

These terms of use are for the benefit of you and us, and they should not benefit any third party or be enforceable by any third party.  The exercise of our and your rights in relation to these terms of use is not subject to the consent of any third party.

19. Entire agreement

These Terms of Use, together with our Terms of Sale, Privacy and Cookie Policy and Delivery and Returns Policy, constitute the entire agreement between you and us in relation to your use of our website, and supersede all previous agreements in respect of your use of this website.

20. Law and jurisdiction

English law will govern, and be the basis for interpreting, these terms of use.  As such, the courts of England and Wales will have sole jurisdiction to judge any dispute arising under or in relation to these terms of use.

Part B - Terms Relating to the Sale of Products to You

1. Introduction

If you want to order for goods from our website, please make sure you read our full terms of sale when you first register / open an account with us.

The only language in which we provide these terms of sale is English.

4. The order process

The advertising of products on our website amounts to an ‘invitation to treat’; and your order for products forms a contractual offer.  No contract will come into force between you and us unless, and until, we accept your order in line with the process detailed below:

In order to enter into a contract to purchase products from us, you will need to take the following steps:

  1. Add the products you wish to buy to your shopping cart and then click the ‘Checkout’ or ‘Go to Checkout’ button.
  2. If you are an existing customer, you must now login to your account.  If you are a new customer, you will need to create an account and login.
  3. The next step is to select your delivery and billing addresses and make sure they are correct.
  4. You will now need to check your order is correct and confirm it is by clicking the ‘Confirm and Pay’ button.
  5. Our payment service provider, PayPoint.net, will then process your payment.
  6. We will then send you an initial acknowledgement of your order by e-mail.
  7. Once we have checked if we can fulfil your order, either
    1. We will send you an e-mail confirming the despatch of your order, at which point your order will become a binding contract, or
    2. We will send you an e-mail confirming that we are unable to meet your order.

We will not file a copy of these terms of sale specifically in relation to your order.  As we may update the version of our terms of sale on our website (see Section 3), we do not warrant that the version you have agreed to will remain accessible.  We therefore suggest you print and keep a copy of these terms of sale for your records.

At every stage of the order process, there is the chance to correct any input errors you may have made.  That is, as long as you do so before you confirm your order and authorise your payment.

For instance, if you click the ‘red cross’ or ‘remove’ link next to the item’s image in your basket, this will take the item out of your basket.  Likewise, you can change the quantity on order by increasing or decreasing the number in the item’s ‘Qty’ box.  Even as late as the Confirm Checkout stage, you can click the ‘Continue Shopping’ button to go back to your basket and make corrections.

5. Our products

We sell books that are, in the main, unread modern signed first editions.  We describe these books briefly on our home and category pages.  On our product pages though, we describe the books in more depth.  This detail will include, at least, the book’s storyline, condition, any special features and the price.

6. Price and payment

We price all items on our website individually.  Due to the large number of items on our website though, it’s always possible that some of the prices could be wrong.  If a price is wrong, we’ll notify you of the correct price within 24 hours of you placing your order.  You’ll then have seven days in which to cancel the order should you no longer wish to go ahead with the sale.  If you cancel the order, or we cancel it due to the expiry of the 7-day period, we will refund the payment taken from your credit card.

While we bill all orders in pounds sterling (GBP), you can, if you wish, see our prices in other currencies.  To do so, click on the currency name in the Select Currency drop-down list.  Please note these are guide prices for your reference only and may not be 100% accurate.

In addition to the price of the items, you may have to pay a delivery charge. Your basket will clearly show the cost, if any, of this service.  (Please see our Delivery Rates page for full details of our shipping charges.)

There is currently no VAT on books but this tax does apply to delivery charges.  As a result, all delivery charges shown on our site include VAT at the current rate.

Due to the collectable nature of our books, prices are liable to change in line with market forces.  Price changes will not affect contracts that have already come into effect though.

You must pay for your order when you place it.  We may withhold the order and/or cancel the contract between us if we don’t receive the full payment price from you in cleared funds.

You may pay for your order by any method detailed on our website.  From time to time though, we may change the payment options available to you.

7. Your warranties

You warrant to us that:

  1. You are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these terms of sale;
  2. The information provided in your order is accurate and complete; and
  3. You will be able to accept delivery of the products.

8. Delivery policy

We will arrange to send the items you’ve ordered to the delivery address shown on your order.

Now and then, we may not be able to meet our target timeframe for shipping your order. What we do guarantee, however, is that unless there are exceptional circumstances we will ship your order within 30 days of receipt of your payment or the date of our order confirmation, whichever is the later.

We will try to deliver your order on or before the delivery date set out in our order confirmation. If there’s no delivery date on the order confirmation, we aim to deliver within five working days of the date of our order confirmation. However, due to the use of third party delivery services, we cannot guarantee delivery by the relevant date.

9. Risk and ownership

The items in your order will be at your risk from the time of delivery.

Ownership of the items in your order will only pass to you upon the later of:

  1. Delivery of the goods; and
  2. Receipt by us of full payment of all sums due in respect of the goods (including delivery charges).

Until ownership of the goods has passed to you, you will possess the goods as our fiduciary agent and bailee.  (If you are a business customer, you must store our goods away from other goods.  You must also ensure that our goods are clearly marked as belonging to us.)

We will be entitled to recover payment for the goods even where ownership has not passed to you.

10. Consumers: returns policy

This section applies to consumers, not business customers.  If you are a business customer, the relevant returns policy is set out in Section 13.

Under the Distance Selling Regulations, you may cancel a contract to buy items from us at any time within 7 working days of receiving the items (subject to the limitations set out below).  Note the 7 working day period starts the day after the date on which you received your order.

Please note that we are unable to accept cancellation of, or returns for, digital items once downloading has started.

In order to cancel a contract this way, you must give us written notice that you wish to cancel by using our enquiry form.  Please make sure you include your order number as part of the cancellation request.

If you cancel a contract on this basis, you must return the items to us so we get them within 10 working days of the date on which you told us you wanted to cancel.  You must return the items to us in the same condition in which you received them.  To avoid the risk of loss, or any dispute over non-delivery, you should send the items back to us using a signed for service.

If you cancel a contract on this basis, you will get a full refund for the items you send back.  We will also include in the refund our charge, if any, for sending the items to you in the first place.  However, you will be responsible for paying the full cost of returning the items to us.

If you cancel a contract on this basis and you do not return the items to us, we may recover the items and charge you for the costs we incur in doing so.  Similarly, if you return the items at our expense, we may pass that expense on to you.

11. Consumers: statutory rights

If you are a consumer, any statutory rights which you have, which cannot be excluded or limited, will not be affected by our terms of sale.

12. Business customers: limitation of warranties

This section applies only to business customers, not consumers.

We warrant to business customers that any items purchased from our website will conform in all material respects to the applicable specification published on our website.

These terms of sale set out the full extent of our obligations and liabilities for the goods supplied to business customers hereunder.  To the maximum extent allowed by applicable law and subject to Section 16 a - d, all conditions, warranties or other terms concerning the goods, which might otherwise be implied into a contract with a business customer under these terms of sale, are expressly excluded.

13. Business customers: returns policy

This Section applies to business customers, not consumers.  If you are a consumer, the applicable returns policy is set out in Section 10.

You may only return items to us with our prior agreement and according to our instructions.  In addition, you must return any items at your own expense.  Any items returned in breach of this section will not qualify for a refund or replacement.  In which case, you will still be liable for payment of the price of such items.

Where you return items to us in line with the terms of this section, and in our reasonable view those items do not conform to the warranties set out in Section 12, then you will be entitled to:

  1. Replacement items (where replacements are available) or,
  2. Where we agree, a refund of the price paid for the items (including any delivery charges).

14. Refunds

If you cancel a contract and are due a refund, we will usually pay you by the same method you used to pay for your goods.  We will process the refund due to you as soon as we can and, in any event, within 30 days of the date we received your valid notice of cancellation.

Even sending orders by a signed for service doesn’t guarantee they won’t be lost.  If your order appears to be lost, we will refund you in full after the following number of days has elapsed:

  • Royal Mail Recorded or Special Delivery - 25 working days after shipping
  • Courier (UK) - 10 days after shipping
  • Airmail (Europe, USA & Canada) - 35 working days after shipping

15. Force majeure

In this section and Section 16 below, ‘force majeure event’ means:

  1. Any event that is beyond our reasonable control;
  2. The unavailability of goods; and / or
  3. Including but not limited to any failure of communication, telecommunication or computer systems, power failure, industrial disputes affecting any third party, governmental regulations, fires, floods, disasters, civil riots, terrorist attacks or wars.

If we become aware of a force majeure event which gives rise to, or which is likely to give rise to, any failure or delay in us carrying out our obligations under these terms of sale, we will let you know as soon as we can.

We will take reasonable steps to lessen the effects of any force majeure event.  However, where a force majeure event gives rise to a failure or delay in us carrying out our obligations under these terms of sale, those obligations will be set aside for the duration of the event.

16. Limitations and exclusions of liability

Nothing in the terms of sale will:

  1. Limit or exclude our or your liability for death or personal injury resulting from negligence;
  2. Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  3. Limit any of our or your liabilities in any way that is not permitted under applicable law; or
  4. Exclude any of our or your liabilities that may not be excluded under applicable law.

If you are a consumer, any statutory rights which you have, which cannot be excluded or limited, will not be affected by our terms of sale.

The limitations and exclusions of liability set out in this Section and elsewhere in the terms of sale:

  1. Are subject to the preceding list (16 a - d) and first paragraph of this section; and
  2. Govern all liabilities arising under the terms of sale or in relation to the subject matter of the terms of sale, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

We will not be liable to you in respect of any losses arising out of a force majeure event.

We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

We will not be liable to you in respect of any loss or corruption of any data, database or software.

We will not be liable to you in respect of any special, indirect or consequential loss or damage.

Our liability to you under the terms of sale will not exceed the total amount you paid for the goods you purchased.

17. Business customers: indemnity

If you are a business customer, you hereby indemnify us and undertake to keep us indemnified against all and any liabilities, losses, damages, expenses and costs (including legal expenses and amounts paid in settlement of any demand, action or claim) arising, directly or indirectly, out of a breach by you of any of your obligations under these terms of sale.

18. Contract cancellation

We may cancel a contract to supply goods made under these terms of sale immediately by written notice to you if:

  1. You fail to pay, on time and in full, any amount due to us under the contract;
  2. You commit any material breach of your obligations to us under the contract.

If you are a business customer, we may cancel a contract to supply products made under these terms of sale if:

  1. You cease to trade;
  2. You become insolvent or unable to pay your debts within the meaning of the insolvency legislation that applies to you;
  3. A person (including the holder of a charge or other security interest) is appointed to manage or take control of the whole or part of your business or assets, or notice of an intention to appoint such a person is given or documents relating to such an appointment are filed with any court;
  4. The ability of your creditors to take any action to enforce their debts is suspended, restricted or prevented, or some or all of your creditors accept, by agreement or pursuant to a court order, an amount of less than the sums owing to them in satisfaction of those sums; or
  5. Any process is instituted which could lead to you being dissolved and your assets being distributed to your creditors, shareholders or other contributors (other than for the purposes of solvent amalgamation or reconstruction).

19. Consequences of cancellation

Upon the cancellation of a contract in accordance with Section 18:

  1. We will cease to have any obligation to deliver goods which are undelivered at the date of cancellation;
  2. You will continue to have an obligation where applicable to pay for goods which have been delivered at the date of cancellation (without prejudice to any right we may have to recover the goods); and
  3. All the other provisions of these terms of sale will cease to have effect, except that Sections 9, 12, 13, 16, 17, 19 and 21 will survive termination and have effect indefinitely.

20. Scope of these terms of sale

These terms of sale do not form or contain any assignment or licence of any intellectual property rights, do not govern the licensing of works (including software and literary works) comprised or stored in goods, and do not govern the provision of any services by us or any third party in relation to the goods.

21. General terms

Use of our website will be subject to our website Terms of Use. We will treat all the personal information that we collect in connection with your order in accordance with the terms of our Privacy and Cookie Policy. Fulfilment of your order is subject to the terms of our Delivery and Return Policy.

A written legal document, signed by both you and us, is the only way to vary contracts under these terms of sale.  We may revise these terms of sale from time-to-time, but such revisions will not affect the terms of any contracts that we have entered into with you.

If any court or other competent authority decides a provision of these terms is unlawful and/or unenforceable, the other provisions will continue in full effect.  If deleting any part of an unlawful and/or unenforceable provision would make it lawful or enforceable, we will regard that part as deleted and the rest of the provision will continue in effect.

If a waiver should affect any provision of these terms of sale, it will only be deemed a one-off set aside of the provision, or provisions, it refers to.  No matter its manner or frequency of use, a waiver will not become a further or continuing waiver.

You may not assign, charge, sub-contract or otherwise transfer any of your rights or obligations arising under these terms of sale.  Any attempt by you to do so will be invalid.  We may assign, charge, sub-contract or otherwise transfer any of our rights or obligations arising under these terms of sale, at any time.  (This is with the proviso that if you are a consumer such action does not serve to reduce the guarantees benefiting you under these terms of sale.)

Under these terms of sale, each contract is solely for the benefit of the parties to it.  Contracts are not enforceable by, or meant to benefit, any other person.  The right of the parties to end, withdraw, or agree any revision, variation, waiver or settlement under such contracts will not need the consent of any person who is not a party to the relevant contract.

Subject to the first list (16 a - d) and first paragraph of Section 16, these terms of sale:

  1. Contain the entire agreement and understanding of the parties in relation to the buying of goods from our website;
  2. Take the place of all previous agreements and understandings between the parties in relation to the buying of goods from our website; and
